Tedee Smart Rental

  1.  GENERAL INFORMATION

    • These Terms and Conditions set out the way in which the Client may purchase goods and services from Tedee through the Store under the ‘Tedee Smart Rental’ offer.
    • Tedee Smart Rental is an offer under which an eligible purchaser gets the opportunity to:
      • join the Tedee Connect paid subscription service (‘Tedee Connect’), and;
      • buy a Device(s) at a special discounted price (‘Promotional Devices’).
    • In order to take advantage of the Tedee Smart Rental offer, the purchaser must both join the Tedee Connect service and purchase Promotional Devices.
    • The services and goods purchased under the Tedee Smart Rental offer are offered on a non-separable basis and are not subject to independent purchase outside the Tedee Smart Rental offer.
    • The conditions of Tedee Smart Rental do not constitute a commercial offer within the meaning of the Polish Civil Code Act or other applicable local regulations.
    • In matters not covered by these Regulations, the Terms and Conditions of Tedee Online Store shall apply accordingly.

  2. TEDEE CONNECT

    • Tedee Connect is a digital service that provides continuous access to the Tedee Software, including but not limited to Tedee App, enabling the use of additional features of Devices purchased under the Tedee Smart Rental offer.
    • Tedee Software offers the following functionalities, among others:
      • Local door opening/closing
      • Remote door opening/closing
      • Current status (position) tracking
      • Auto – opening/closing
      • Key sharing
      • Revocation of keys
      • Access for multiple users simultaneously
      • Management of access levels
      • Ongoing notifications
      • Event log
      • Smartphone widget
      • Opening/closing via Apple Watch
      • Integration with voice assistant (Siri, Alexa)
      • Automatic app/device updates
    • The functionalities described above are available during the active subscription period of Tedee Connect only for Devices purchased under the Tedee Smart Rental offer.
    • A list of features currently offered by the Tedee App as part of a Tedee Connect subscription is available at https://play.google.com/ and https://apps.apple.com/.
    • In order to access the functionalities offered by Tedee Connect, the Client must have an active user account in the Software. (full terms and conditions of the Tedee App are available under https://devsite.tedee.com/app-terms-and-conditions/), and;
    • Tedee Connect is not a stand-alone service. This service can only be subscribed to if the subscriber purchases one of the devices offered by Tedee through the Tedee Smart Rental offer, available at https://devsite.tedee.com/, and does not affect the functionalities of other Tedee devices offered by the Vendor as part of the standard commercial offer.


  3. PROMOTIONAL DEVICES

    • Under the Tedee Smart Rental offer, the Vendor offers special bundles of Devices, subject to purchase together with the Tedee Connect service (‘Variants’).
    • As part of the promotional offer, Tedee offers the opportunity to purchase the following Variants of Devices, at a special discounted price:
      • Tedee Smart Rental LOCAL – Tedee GO + Tedee Connect
      • Tedee Smart Rental REMOTE – Tedee GO + Tedee Bridge + Tedee Connect
      • Tedee Smart Rental PRO – Tedee GO + Tedee Bridge + Tedee Keypad + Tedee Connect
    • The current prices of the Variants and their composition are available at https://devsite.tedee.com/.
    • All Devices offered by the Vendor in the Store under Tedee Smart Rental offer are brand new, without defects, have all the approvals required by Polish law and the applicable law of the European Union.
    • All Device(s) offered by Tedee under Tedee Smart Rental are subject to a warranty, the conditions of which are available under https://devsite.tedee.com/.


  4. ELIGIBLE PERSONS

    • The Tedee Smart Rental offer is only available to an adult natural persons or legal persons, dully represented who purchased the Device(s):
      • that are directly related to his/her/their economic or professional activity, thus not considered a consumer under EU law, and;
      • to which an individual VAT (value added tax) number has been assigned as of the date of execution of the Order and remains valid for the entire period of use of Tedee Connect – resident in any EU Member State, except for the Republic of Poland(‘Business Owner’).
    • Clients and Consumers who do not meet the criteria of Business Owners are not eligible for Tedee Smart Rental offer. For ease of reference, unless otherwise indicated, the terms “Client” and “Business Owner” will have the same meaning in subsequent part of this section of these Terms and Conditions.
    • THE CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT IN THE EVENT THAT THE CLIENT LOSES VAT ACTIVE TAXPAYER STATUS IN THE COURSE OF USING THE TEDEE CONNECT SERVICE, TEDEE WILL TERMINATE THE TEDEE CONNECT SERVICE WITH RESPECT TO THE CLIENT WITH IMMEDIATE EFFECT.


  5. ORDERING

    • To place an Order for the selected Tedee Smart Rental Variant, the Client must:
      • add the selected Device(s) available under currently offered Variant to the shopping cart and proceed to checkout;
      • provide delivery address, as well as the method of payment;
      • accept the ‘Terms of Use’, ‘Terms of Use – Tedee Smart Rental’, ‘Privacy Policy’, and other applicable checkboxes;
      • choose preferred payment method and provide required payment information;
      • click on the ‘Order with payment obligation and start my subscription’ box or similar and proceed to the payment procedure;
      • follow the steps provided by your chosen payment operator to complete the payment, by:
        • authorizing payment for the Device(s), and;
        • establishing a fixed recurring payment for access to the Software.
      • await confirmation of payment from the Payment Operator.
    • Upon receipt by the Client of the payment confirmation sent by the Payment Operator to the email address indicated in the Order:
      • contract of sale of the Promotional Device(s) which are the subject of the Order is concluded, and;
      • 30-day free access to Tedee Connect for the Promotional Devices referred to in (a) above is granted, after which subscription fees are charged, in accordance with Section 6. TEDEE CONNECT PAYMENTS below.
    • The Operator reserves the right to cancel the Order within 3 business days in the event of lack of Promotional Devices available for sale at the time of conclusion of the sale contract. In such an event the Operator shall fully reimburse the Client for the Device(s) ordered and process cancellation of Tedee Connect subscription.
    • In order to self-manage a Tedee Connect subscription (e.g., obtain information on the current duration and payment dates of the subscription), the Client must have an active Tedee Account in the Store (in order to register Tedee Account please follow registration route available under: https://devsite.tedee.com/).


  6. TEDEE CONNECT PAYMENTS

    • Free Trial

      Tedee Connect is a continuous service, provided for an indefinite period of time, subject to a recurring subscription fee, payable monthly after a 30-day initial free trial period, active from the date the Order is confirmed for execution (“Free Trial”). [ For example, if a Client places and pays for an Order on January 1st, the first payment for a Tedee Connect subscription will be automatically charged on February 1st ]

      WHEN THE CLIENT SUBSCRIBES TO TEDEE CONNECT, THE CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT ONCE THE TRIAL PERIOD ENDS, TEDEE CONNECT SUBSCRIPTION IS AUTOMATICALLY RENEWED FOR AN IDEFINITE PERIOD OF TIME AND TEDEE (OR TEDEE’S THIRD-PARTY PAYMENT PROCESSOR) IS AUTHORIZED TO CHARGE THE CLIENT AT THE BEGINNING OF EVERY MONTH OR OTHER PERIODIC BASIS FOR THEIR SUBSCRIPTION (IN ADDITION TO ANY APPLICABLE TAXES AND OTHER CHARGES) FOR AS LONG AS THEIR TEDEE CONNECT SUBSCRIPTION CONTINUES, AND (B) THE CLIENT’S SUBSCRIPTION IS CONTINUOUS UNTIL CANCELLED OR TEDEE SUSPENDS OR STOPS PROVIDING ACCESS TO TEDEE CONNECT.


    • Paid Subscription

      After the Free Trial period ends, payments for Tedee Connect are made in arrears for each consecutive month of active Tedee Connect subscription and can be made via most major credit card providers, as well as Apple Pay.

      Tedee, using its payment processor, will automatically attempt to debit the Client’s payment method when the subscription period is renewed. If a successful debit of the payment method fails, for example due to insufficient funds or bank refusal, Tedee will make 2 additional attempts to debit the payment method within the next 1 business day. The Client will be notified of each failed attempt and encouraged to update its payment method.

      BY SUBSCRIBING TO TEDEE CONNECT THE CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT IN THE EVENT THAT THE TOTAL OF THREE PAYMENT ATTEMPTS FOR TEDEE CONNECT SUBSCRIPTION DURING A SINGLE BILLING PERIOD ARE UNSUCCESSFULL, TEDEE RESERVES THE RIGHT TO SUSPEND, LIMIT, DISABLE, CANCEL OR TERMINATE THE CLIENT’S ACCESS TO THE SUBSCRIPTION AND THE SOFTWARE.

      In such an event, the Client shall be notified by Tedee about imposing any applicable restriction involving Tedee Connect subscription.


    • Subscription Cancellation

      The Client may cancel its Tedee Connect subscription at any time by logging into the Client’s Tedee Account, accessing the “My Subscription” tab and clicking the “Cancel Subscription” button or equivalent, or by contacting Tedee via [email protected].

      Upon cancellation, the Client’s subscription will be terminated end of the next consecutive billing period [ For example, if the Client’s Tedee Connect subscription is billed every 22nd day of the month, a cancellation made in June will be effective on July 22nd ].

      Previous payments made by the Client towards their subscription period are non-refundable. Any credits on the Client’s account at the end of their subscription period cannot be refunded.

      Unless otherwise indicated, Devices purchased by the Client under the Tedee Smart Rental offer are non-refundable and remain the sole property of the Client, including in the event of cancellation of the Tedee Connect subscription. Cancellation of this service also does not affect the warranty terms of the Device(s), available at https://devsite.tedee.com/warranty_en/.

      IF THE CLIENT CANCELS THE TEDEE CONNECT SERVICE DURING THE 30-DAY FREE TRIAL PERIOD, THE CLIENT SHALL, WITHIN 7 BUSINESS DAYS FROM THE DATE OF CANCELLATION OF THE SUBSCRIPTION, RETURN THE DEVICE(S) PURCHASED UNDER TEDEE SMART RENTAL TO THE VENDOR’S ADDRESS AT ITS OWN EXPENSE.
      BY CANCELLING TEDEE CONNECT, THE CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT AFTER THE CANCELLATION PERIOD ENDS, THE CLIENT WILL NO LONGER HAVE ACCESS TO THE SOFTWARE CONTROLLING THE DEVICE(S), WHICH MAY PERMANENTLY LIMIT OR DISABILIZE THE ABILITY TO ACCESS THE PREMISES CONTROLLED BY THE DEVICE(S) IN QUESTION.


  7. COMPLAINTS

    • The Client has the right to file complaints regarding the provision of the Tedee Connect service, providing the data necessary for verification of the Subscriber, i.e. the Client’s name, Device(s) serial number, and information about the circumstances of the complaint, including, but not limited to, the indication of the service to which the complaint relates and the date on which the problem occurred.
    • A complaint may be submitted:
      • electronically using electronic means of communication to the e-mail address: [email protected], or
      • in writing – to the address of Tedee sp. z o.o. – ul. Karola Bohdanowicza 21/57, 02-127 Warsaw, Poland (fee according to operator’s tariff).
    • The complaint will be considered within a reasonable time. In cases that are particularly complicated or require additional explanations, the complaint will be considered no later than within 14 days of receipt.
    • The response to the complaint will be provided electronically to the e-mail address from which the complaint was sent. If the Client submits a complaint in writing, the Client is obliged to indicate the method of communication with it, specifying the e-mail address or the mailing address if a written response is selected.
    • Tedee may call on the Client to supplement the information necessary to consider the complaint, in particular to determine whether the lack of compliance of the Tedee Connect with the Terms of Use is due to the characteristics of the Client’s digital environment. If the Client fails to supplement them, the complaint shall be left unprocessed. The Client is obliged to cooperate with Tedee in completing the data necessary to consider the complaint.


  8. LIABILITY WAIVER

    • BY SUBSCRIBING TO TEDEE CONNECT, CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT NEITHER TEDEE NOR ANY AFFILIATE, OFFICER, DIRECTOR, EMPLOYEE, ATTORNEY OR AGENT OF TEDEE SHALL HAVE ANY LIABILITY WITH RESPECT TO, AND CLIENT HEREBY WAIVES, DISCLAIMS AND AGREES NOT TO MAKE ANY CLAIMS FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH, RESULTING FROM, OR IN ANY WAY RELATING TO THE USE OF TEDEE CONNECT (HEREINAFTER: “LIABILITY”).
    • SPECIFICALLY, CLIENT INDEMNIFIES TEDEE FROM AND AGAINST ANY LIABILITY FOR TEMPORARILY LIMITING, RESTRICTING, DISABLING OR PERMANENTLY BLOCKING, IN ACCORDANCE WITH THE PROVISIONS OF THESE REGULATIONS, CLIENT OR ANY PERSON AUTHORIZED BY CLIENT’S ACCESS TO THE DEVICES CONTROLLED BY THE TEDEE CONNECT SERVICE, AND ANY DAMAGES RESULTING THEREFROM.


  9. MISCELLANEOUS

    • The Client shall be responsible for the purchase and maintenance of all required hardware, software, third party services and other equipment necessary to access and use Tedee Connect. In addition, the Client shall be solely responsible for all costs and expenses, including costs related to Internet access.
    • The availability of Tedee Connect subscriptions is dependent on factors beyond control, and Tedee retains the authority to impose limitations, decline specific portions or entirety of an Order and or Tedee Connect subscription, or discontinue the provision of certain Tedee Connect services, all without prior notification, even if an Order has been previously submitted.
    • Tedee may, in the event of a violation of the Terms of Use of the Software by the Client, cancel, terminate, suspend or otherwise limit Client’s Tedee Connect subscription.
    • Tedee may, from time to time, with or without prior notice, temporarily suspend the operation of any feature of Tedee Connect and/or related services (in whole or in part) for repair or maintenance work or to update or upgrade any content, feature or functionality.
    • Tedee reserves the right to change prices and fees for Tedee Connect subscription plans or impose additional fees. Such changes will be effective as of the first billing cycle that occurs more than 30 days after Tedee’s announcement of new prices or fees.
    • The technical requirements for using Tedee Connect may be updated by Tedee without prior notice. Tedee shall, however, notify the Client at least 60 days in advance if Tedee will stop supporting previously supported version of Tedee Connect.
    • In case the Client does not accept additional fees and/or new technical requirements for the continuous use of Tedee Connect, the Client has the right to terminate the subscription to Tedee Connect by exercising the right to cancel the subscription of Tedee Connect.
    • Tedee Connect is purely an access service, payment for which is in no way dependent on actual use by the Client. Limited use or total lack of use of the service by the Client shall not constitute grounds for partial or full refund, compensation or any other refundable transfer against the Client.
    • Tedee reserves the right to investigate, suspend and terminate accounts that circumvent or attempt to circumvent Tedee’s subscription model of Tedee connect.


  10. ENTRY INTO FORCE


    The Terms and Conditions enter into force on the November 1st 2023.
